These Rules govern the raffle and are binding on everyone who buys and is named on a raffle ticket. This raffle is registered with the California Attorney General, Reg. #R-1640.

REFER-A-FRIEND DRAWING:

1st Prize: $10,000 for winner, plus $10,000 for referring friend

2nd – 17th (16) Prizes: $100 Quiksilver/Roxy Gift Certificates – one for winner, one for referring friend (good online and retail stores).

The drawings for all Refer-A-Friend prizes will occur in reverse order, starting with the lowest prize and ending with 2nd prize. After all these tickets are drawn, they will be returned to the drum and they are eligible to also win the 1st prize. Therefore, it is possible for one ticket to win 1st prize and one other prize.

Gift Certificates cannot be redeemed for cash, refunded, used as payment on existing store accounts. Before using gift certificates, inquire about the store’s policy as it relates to returns and exchanges. Travelex Worldwide Money does not accept the South Coast Plaza gift certificate.

DEADLINES AND DRAWING DATES

AUGUST EARLY-BIRD DRAWING: To be eligible, ticket order with payment must be received by Wednesday, August 18, 2010. This drawing will occur Wednesday, September 1, 2010, 5:30 p.m. at the Ocean Institute.

SEPTEMBER EARLY-BIRD DRAWING: To be eligible, ticket order with payment must be received by Wednesday, September 15, 2010. This drawing will occur Wednesday, September 29, 2010, 5:30 p.m. at the Ocean Institute.All Early Bird tickets including winning tickets will also be entered in all subsequent drawings for which they qualify, and in the Grand Prize Drawings.

MULTIPLE-TICKET DRAWINGS: Buy 2 or more tickets and you will be entered in all Multi-Ticket Drawings for which you are eligible (as well as the Grand Prize and all other eligible drawings). To qualify, tickets must be bought before the applicable deadlines and have the same named ticket holders and billing address. The first Multiple Ticket Drawing purchase deadline is Wednesday, August 18, 2010, and that drawing will occur Wednesday, September 1, 2010, 5:30 p.m. at the Ocean Institute. The second Multiple Ticket Drawing purchase deadline is Wednesday, September 15, 2010, and that drawing will occur Wednesday, September 29, 2010, 5:30 p.m. at the Ocean Institute. The final Multiple Ticket Drawing purchase deadline is Wednesday, October 20, 2010, and that drawing will occur Saturday, November 6, 2010, noon, at the Ocean Institute.

REFER-A-FRIEND DRAWING: Buy a ticket and then get a friend to buy a ticket and BOTH of you will be entered into the Refer-A-Friend Drawing (as well as the Grand Prize and all other eligible drawings). To qualify, the referring person must have already bought a ticket, and his or her name must be provided, at time of the friend’s purchase. Refer 2 friends who each buy a ticket, and receive 2 entries in the Refer-A-Friend Drawing. Refer 3 people who each buy a ticket and receive 3 entries in the Refer-A-Friend Drawing, etc. The Refer-A-Friend Drawing purchase deadline is Wednesday, October 20, 2010, and that drawing will occur at the Grand Prize Drawing.

GRAND PRIZE DRAWINGS: To be eligible, ticket order with payment must be received by Wednesday, October 20, 2010. The Grand Prize Drawings will occur Saturday, November 6, 2010, noon, at the Ocean Institute.

All drawings are open to the public, on a space available basis. You do not need to be present to win and you do not need to have your raffle ticket to win. Any or all ticket purchase deadlines and drawing dates may be extended in the Ocean Institute’s discretion without notice. Additional drawings and prizes may be added in Ocean Institute’s discretion and the Ocean Institute may give away raffle tickets for promotional purposes (so long as the total number of tickets sold and given away does not exceed 20,000). RAFFLE TICKETS

Each raffle ticket costs $150. A maximum of only 20,000 tickets will be issued. Tickets can be bought in the name of 1, 2 or 3 people. If more than 3 names appear on a ticket entry form, then only the first 3 names appearing (as determined in the Ocean Institute’s discretion) will be the holders of that ticket. Ticket receipts will be sent to first person listed on the entry order. Any prize and related tax liability will belong 100% to 1 person named on a ticket, 50% to each of 2 persons named on a ticket, and 33-1/3% to each of 3 persons named on a ticket. Any ticket entry forms that are deemed in the Ocean Institute’s discretion to be defective or illegible will not be honored. A person named on a ticket can not sell, give away or otherwise transfer that person’s interest in the ticket. The Ocean Institute assumes no responsibility for lost, misdirected, late or non-delivered mail or other failure to timely buy tickets. According to the Internal Revenue Service, the price of a raffle ticket is not a tax-deductible charitable contribution, but it may qualify for a gambling loss deduction.

HOW TO BUY TICKETS

Raffle tickets may be bought only by phone at 949-542-3600; or by faxing the order form to 949-542-3601; or by delivering the order form to: Ocean Institute, 24200 Dana Point Harbor Drive, Dana Point, CA 92629. Ticket purchases can be made with valid credit card (Visa, MasterCard, Discover or American Express) numbers, security code, and expiration dates, or by check or money order payable to “Ocean Institute,” or in cash in person at the Ocean Institute. Orders will be processed in the approximate order in which they are received and verified. Tickets can not be bought by voicemail, over the Internet, or by any other credit card, debit card, check card, “PayPal” or similar method. All sales are final. No payments will be refunded, including without limitation payments received from ineligible parties, except in the Ocean Institute’s discretion.

ELIGIBILITY

Raffle ticket buyers and each person named on a ticket must be at least 18 years old at the time of purchase. Raffle tickets can not be bought in the name of businesses, trusts, corporations, or other entity. This raffle is void where prohibited by law.

OTHER RULES

At least 15,000 raffle tickets must be sold by the ticket purchase deadline in order for the Grand Prize winner to have the choice of the home or the Alternate Grand Prize of $1,000,000 cash. If less than 15,000 tickets are sold by the deadline, then all Other Prizes will be awarded and instead of the home or the Alternate Grand Prize the Grand Prize Winner will be awarded a cash prize equal to 50% of any net raffle proceeds, defined as total ticket sales revenue minus the cost of all other prizes (whether or not claimed or awarded) and minus all raffle-related expenses as determined by the Ocean Institute. The 15,000 ticket threshold may be lowered in the Ocean Institute’s discretion.

In order for the Grand Prize winner to receive the home (subject to these Rules), the winner must elect to receive the home, instead of the Alternate Grand Prize, by delivering written notice of that election to the Ocean Institute by 3:00 p.m. on the date that is 16 days after the drawing. To be effective, this notice must be signed by everyone named on the winning ticket. If the Ocean Institute does not receive an effective notice by this deadline, then the Grand Prize winner will be automatically and irrevocably deemed to have elected not to receive the home and to have elected to receive the Alternate Grand Prize. If the Grand Prize winner elects the home, and if after making that election the winner is unable to deliver to the Ocean Institute the required withholding amounts before the delivery of the home or such other items as are necessary to complete the home transfer, as determined in the Ocean Institute’s discretion, then the Ocean Institute may award the Alternate Grand Prize instead of the Grand Prize.

If the Grand Prize winner receives the home, then the home will be transferred to the Grand Prize winner without furnishings through an escrow in its as-is, where-is condition. If there is a tenant in the home, then the Grand Prize winner shall allow a reasonable time for the tenant’s lease to be terminated and the tenant to vacate the home or accept the home subject to the tenant’s lease. The Ocean Institute and the home seller do not provide any guarantee, agreement, representation or warranty, express or implied, in connection with the home including as to its value or that the home can be sold for any certain price or within any certain time. The Ocean Institute and the home seller have no responsibility regarding the home, its condition or its location.

If the Grand Prize winner receives the home, then the winner shall be solely responsible for paying and reporting, as and when required by law, all income taxes, property taxes, and any other taxes and expenses attributable to the receipt and ownership of the home, including without limitation any required withholding amounts. The Grand Prize winner acknowledges that government authorities may place a different value on the home than the Ocean Institute placed on the home in determining any income, property, transfer, or other taxes or fees that may be attributable to the Grand Prize. If the Grand Prize winner properly elects to receive the home, then the winner shall sign and deliver an agreement of purchase and sale and related escrow instructions within 7 calendar days after these documents are provided to the Grand Prize winner and shall reasonably cooperate in the escrow process and promptly sign and deliver such documents as are customary for acquiring residential real estate. The Grand Prize winner is solely responsible for paying when due all escrow and title insurance charges, homeowner’s association dues and assessments, transfer taxes and all other charges imposed on the winner by the agreement of sale or related escrow instructions. The Escrow period shall be 45 days or less.

All prize winners are solely responsible for paying and reporting, as and when required by law, all income taxes and any other taxes and expenses attributable to the prize, whether or not the Ocean Institute makes any withholding for taxes from that amount, and authorize the Ocean Institute to withhold from any prize any and all amounts required to be withheld by applicable law and shall indemnify, defend, protect and hold harmless the Ocean Institute against all claims relating to such taxes and expenses.

The Ocean Institute will make reasonable efforts to contact the persons named on a winning ticket, using only the information on the winning ticket entry form. If despite those efforts the persons named on a winning ticket cannot be located within 30 calendar days after the drawing, or if any such person is ineligible under these Rules or applicable law, then that person will not be awarded the prize, no other ticket will be substituted for that ticket and the prize will be retained by the Ocean Institute. Any prize that is not claimed within sixty days after the drawing for that prize will not be awarded.

The Ocean Institute reserves the right to reject any entry form that is submitted with payment that does not constitute “good funds” as determined in the Ocean Institute’s discretion. The Ocean Institute has no responsibility for notifying anyone who attempts to buy a ticket without good funds. Each person named on a winning ticket agrees that his or her name, likeness, voice and city of residence may be used without notice or payment of compensation in any print, audio or visual media for any promotional or other purposes, including without limitation any purposes related to this or any other raffle involving the Ocean Institute.

Each person named on a winning ticket agrees, as a condition to being eligible to receive any prize, to sign and deliver to the Ocean Institute: (a) a sworn affidavit of eligibility in accordance with these Rules and applicable law, including without limitation that he or she was at least 18 years old at the time of purchase; (b) such written information as is required by any applicable tax and/or real estate laws, including without limitation his or her Social Security Number; (c) proof of identity satisfactory to the Ocean Institute showing that the person claiming the prize is the same person named on the winning ticket; and (d) a publicity release permitting the above uses by the Ocean Institute.

Each person who buys a raffle ticket and/or whose name appears on a ticket: (a) agrees that the Ocean Institute, its directors, officers, employees, agents, representatives, the home seller and all other prize providers are not responsible for any injuries, losses or damages of any kind arising in connection with, or as a result of, this raffle and/or that person’s failure to win or redeem any prize, or that person’s award of, acceptance of, or use of, any prize; and (b) releases and agrees to indemnify, defend, protect, and hold harmless the Ocean Institute, the home seller and all other prize providers and each of its respective officers, directors, shareholders, employees, agents, contractors, insurers, attorneys and affiliated entities from and against all losses, damages, rights, claims and actions of any kind arising in connection with, or as a result of, this raffle and/or that person’s failure to win or redeem any prize, or that person's award of, acceptance of, or use of, any prize; and (c) represents and warrants to the Ocean Institute that he/she has read and understands these Rules and agrees to be bound by these Rules and the Ocean Institute’s decisions, which will be final.
